The rules an LLC name has to follow

An LLC name is a legal filing before it is a brand, so it has to pass rules a shop sign never faces. The details vary by state, but the big three are close to universal. The name must include a designator: "Limited Liability Company", "LLC" or "L.L.C." California also allows Limited and Company to be shortened to Ltd. and Co., and Florida accepts professional versions such as PLLC for licensed professions. The name must be distinguishable from entities already on the state's records. And certain words are off-limits or need a regulator's approval.

California's guidelines spell out the restricted words for LLCs plainly: the name may not include bank, trust, trustee, incorporated, inc., corporation or corp., and it may not include insurer, insurance company or other words suggesting it issues insurance policies. Other states have similar lists, usually covering banking, insurance and words like University or Engineer that imply a license. If your business touches any of those areas, read your own state's list before you file.

Distinguishable is stricter than it sounds. California's examples show that changing case, punctuation, spacing or swapping "&" for "and" does not make a name different: Good Time Rest Home, LLC and Goodtime Rest Home LLC count as the same name. You need a real word difference.

LLC business names: legal name versus trading name

Your LLC name does not have to be the name on your storefront. Many owners file a plain legal name (Highmoor Properties LLC, Halloran Consulting LLC) and trade under a brand through a DBA or fictitious name registration. This is common for holding companies and landlords who want some distance between the entity and the public, and for owners who plan to run several brands from one LLC.

Passing the state check is not the same as being safe to use. A state registry only compares your name against other entities filed in that state; California's own name-availability page notes that its check does not cover trademarks. Search the USPTO trademark database separately, and check the domain with the Check .com button before you pay the filing fee.

Filing tips for your LLC name

  • Search your state's business entity database for the name with and without punctuation, spaces and "&"; states ignore those differences when they judge distinguishability.
  • Keep bank, trust, insurance, corporation and inc. out of an LLC name unless you have confirmed your state allows them for your specific business.
  • If you are a licensed professional, check whether your state requires a professional LLC and which designator (PLLC, P.L.L.C. or similar) you must use.
  • Many states let you reserve a name for a fee before you file; it is worth doing if you are still gathering documents.
  • File a DBA if you will trade under a name that differs from the LLC name, and use the exact legal name on contracts, bank accounts and tax forms.

Questions people ask

What are the rules for naming an LLC?

Most states require three things: a designator such as LLC, L.L.C. or Limited Liability Company; a name distinguishable from entities already on file; and no restricted words like bank, trust or insurance without approval. California also bars corporation, corp., incorporated and inc. in LLC names.

Does an LLC name have to include LLC?

Yes. Every state requires the legal name to include a designator such as "Limited Liability Company", "LLC" or "L.L.C." You can trade under a different name without it, but you usually need to register that name as a DBA or fictitious business name.

How do I check if an LLC name is available?

Search your Secretary of State's business entity database. Differences in capitalization, punctuation, spacing or "&" versus "and" do not count, so search the core words. Then check the USPTO trademark database and the domain, because the state search covers neither.

What are good LLC business names?

Good LLC business names are easy to read on a contract, pass the state's distinguishability rule and avoid restricted words. A surname or place word plus the service (Halloran Advisory LLC, Oakfield Rentals LLC) is the safest pattern and leaves room to trade under a separate brand.

Can two LLCs have the same name?

Not in the same state, since each state requires names to be distinguishable on its own records. Two LLCs in different states can share a name, but a federal trademark held by one of them can still stop the other from using it.
